Terms of Service

1. Agreement
These Terms of Service (“Terms”) govern your access to and use of the Koalr platform operated by Koalr, LLC. (“Koalr,” “we,” or “us”). By creating an account or using Koalr, you agree to these Terms. If you are using Koalr on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. License grant
Subject to these Terms and payment of applicable fees, Koalr grants you a non-exclusive, non-transferable, revocable license to access and use the Koalr platform during your subscription term, solely for your internal business purposes. You may not sublicense, resell, or provide the platform to third parties without written consent from Koalr.
3. Acceptable use
You agree not to: (a) use the platform in violation of applicable law; (b) attempt to gain unauthorized access to any part of the platform or its related systems; (c) reverse engineer, decompile, or disassemble any part of the platform; (d) use the platform to transmit malware or engage in denial-of-service attacks; (e) use data from the platform to train competing AI models without written consent.
4. Payment terms
Paid plans are billed in advance on a monthly or annual basis. Seats are counted monthly based on the maximum number of active engineers tracked during the billing period. Fees are non-refundable except as required by applicable law or as described in our refund policy. Koalr reserves the right to change prices with 30 days written notice to existing subscribers.
5. Data ownership
You retain all rights to your engineering data. Koalr processes your data only to provide and improve the platform. We do not sell your data to third parties. You may export your data at any time and request deletion upon account closure.
6. Confidentiality
Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information, but no less than reasonable care. Engineering metrics, repository data, and business information shared with Koalr are treated as confidential.
7. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOALR'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF $100 OR THE FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM. KOALR SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR SPECIAL DAMAGES.
8. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
9. Changes to Terms
We may update these Terms from time to time. We will notify you by email and in-app notice at least 30 days before material changes take effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.
